MEZZIE, LLC – TERMS OF SERVICE

By accessing any product, service, API, SDK, command‑line tool, website or mobile application operated by Mezzie, LLC (collectively, the "Service"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, Copyright Policy, and any Order Form or Data‑Processing Agreement executed between you and Mezzie. If you are entering into these Terms on behalf of a company, organization, government, or other legal entity, you represent that you have authority to bind that entity; "you" then refers to that entity.

If you do not agree to all provisions, you may not use the Service.

Mezzie, LLC is a Texas limited‑liability company doing business as (DBA) "Lemen." The Service is provided under the Lemen brand name.

The Service functions as an AI orchestration layer that:

• (a) accepts textual prompts, voice recordings, images, documents or other data from Users ("Input");
• (b) selects, via proprietary heuristics and embeddings, one or more large‑language models or multimodal models ("LLMs") provided by third parties (e.g., OpenAI, Anthropic, Google, Stability AI, xAI) either directly or through an aggregator (e.g., OpenRouter.ai);
• (c) forwards Input (in whole or in part), along with system and contextual instructions, to the selected LLM(s); and
• (d) returns the LLM‑generated output ("Output") to the User in the Service interface or via API.

The Service may incorporate optional modules—including but not limited to OCR, file parsing, code‑execution sandboxes, web‑search calls, and image‑generation endpoints. Mezzie does not itself create, own or operate the upstream LLMs and therefore disclaims responsibility for their content per § 14.

Minimum age. You must be at least 18 years old—or the age of majority in your jurisdiction—to create an account.

Competent capacity. You affirm that you are fully able and competent to enter into, and comply with, these Terms.

Prohibited entities. You may not use the Service if you are (i) a resident of, or incorporated in, a country or region subject to comprehensive U.S. sanctions; (ii) listed on any U.S. Government denied‑party list; or (iii) barred from using OpenAI, Google, Anthropic, Stability AI, or similar services.

Registration data. You must provide accurate, current information—including a verifiable e‑mail address—and keep it updated.

Credentials. Do not share passwords or API keys. You are responsible for all activity under your credentials.

Notification duty. Notify support@lemen.ai immediately of unauthorized use or security breach.

Pricing tiers. Fees, quotas, rate limits, and included credits are listed on the Pricing Page or an Order Form.

Auto‑renewal. Paid plans renew automatically each billing cycle unless canceled at least 24 hours before renewal.

Usage‑based overages. If you exceed plan quotas (tokens, image generations, storage, search queries), you authorize us to charge overage fees at the then‑current rates.

Taxes. Fees exclude applicable sales, use, VAT, GST, or withholding taxes, which you are responsible for unless we are legally required to collect.

No refunds. Payments are non‑refundable except as required by law or explicitly stated in a Service‑level addendum.

Trial credits. Free credits expire 30 days after issuance unless otherwise stated.

You shall not, and shall not permit others to:

• Illegal or harmful content. Upload, generate, request, or distribute content that is illegal, exploitive, harassing, hateful, defamatory, or encourages violence.
• Intellectual‑property infringement. Submit material to which you lack rights, or instruct the Service to produce infringing material.
• Disallowed model probing. Attempt automated scraping, reverse‑engineering, data‑set extraction, or weight dumping of upstream models.
• Disinformation. Knowingly seek or distribute false content presented as fact without appropriate context.
• Malware. Generate ransomware, keyloggers, phishing kits, or similar malicious code.
• Automated or excessive traffic. Use proxies, bots, or scripts to exceed purchased throughput.
• High‑risk use. Use Output in medical, legal, or other regulated advice scenarios without human‑expert review and industry‑standard disclaimers.

Violation may result in rate‑limit throttling, content blocking, suspension, data deletion, or account termination.

8.1 Your Ownership

Except for the licenses in § 8.2–8.3, Mezzie claims no ownership over Input or Output.

8.2 License to Mezzie

You grant Mezzie and its subprocessors a non‑exclusive, worldwide, royalty‑free license to host, store, transmit, display, and transform Input & Output solely to operate, improve, and secure the Service and comply with law. We do not use your data to train proprietary LLMs without your further written consent.

8.3 Pass‑through Terms

Your Input & Output are also subject to the license terms and policies of each upstream provider invoked for your request (e.g., OpenAI Terms § 3, OpenRouter Terms § 2). Where those terms conflict with these Terms, the stricter or more restrictive clause governs.

8.4 Feedback

Any feedback you submit may be used by Mezzie without obligation.

9.1 Retention Windows

9.2 On‑Demand Deletion ("Hard Delete")

Irrevocable purge. A User may delete any conversation, file, or memory element at any time via the Delete button or the /delete API call. Within 60 seconds the record is permanently and irreversibly removed from production databases, vector stores, and backups under Mezzie's control. We do not retain shadow copies, snapshots, or cold‑storage archives of hard‑deleted content.

Immutable logs remain. Minimal hashed identifiers, timestamps, and dollar amounts are retained in a write‑once audit ledger for billing, abuse forensics, and legal compliance (but contain no conversation content). These ledger entries are not subject to erasure.

9.3 Security Controls

• Encryption in transit & at rest (TLS 1.3 / AES‑256‑GCM)
• Zero‑trust bucket ACLs; files require signed URLs
• Daily backups stored in encrypted off‑site vaults for disaster recovery (does not include hard‑deleted items)

9.4 Compliance

We adhere to GDPR Art. 17 ("Right to Erasure"), CCPA §1798.105, Texas Data Privacy & Security Act (TDPSA), and NIST SP 800‑171 controls where applicable.

Uptime goal: 99.5% monthly.

Status page: status.lemen.ai

Support channels: in‑app chat, e‑mail (24 h response on paid plans), Discord community.

Credits for downtime: Equal to prorated subscription fees of affected period, exclusive remedy.

We may modify, suspend, or discontinue the Service (or any component, including specific model access) for security, legal, or technical reasons. Where feasible we will provide at least 72 hours' notice. If a change materially degrades the core functionality of a paid plan, you may terminate the plan and receive a pro‑rata refund of unused fees.

Either party may terminate at any time:

User termination. Cancel via Settings → Billing; effective end of current paid period.

Mezzie termination. We may terminate immediately for material breach, abuse, or legal prohibition.

Upon termination we will delete or anonymize personal data within 90 days, except where legal retention is required.

You agree to defend, indemnify, and hold harmless Mezzie and its officers, directors, employees, agents, affiliates, and suppliers from and against any claims, damages, liabilities, and expenses (including attorneys' fees) arising from (i) your use of the Service, (ii) your violation of these Terms or any law, or (iii) your User Content.

THE SERVICE, INCLUDING OUTPUT, IS PROVIDED "AS IS," "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. MEZZIE AND ITS SUPPLIERS SPECIFICALLY DISCLAIM WARRANTIES OF TITLE, NON‑INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR RELIABILITY. LLM OUTPUT MAY BE INACCURATE OR OFFENSIVE; YOU ASSUME SOLE RESPONSIBILITY FOR VERIFYING ITS ACCURACY BEFORE RELYING ON IT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEZZIE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO MEZZIE IN THE 90 DAYS PRECEDING THE CLAIM OR (B) US$100. IN NO EVENT WILL MEZZIE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL.

Some jurisdictions disallow certain limitations; in such jurisdictions, liability is limited to the least amount permitted by law.

You may not export or re‑export the Service or technical data except in compliance with U.S. export laws and regulations. You represent that you are not located in, under the control of, or a national / resident of any such prohibited country.

These Terms are governed by the laws of the State of Texas, excluding conflict‑of‑law provisions. All disputes shall be resolved by binding arbitration administered by the American Arbitration Association in Harris County, conducted in English, with one arbitrator. The decision shall be final and may be entered in any court. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION.

Entire agreement. These Terms constitute the entire agreement between you and Mezzie and supersede all prior understandings.

Severability. If any provision is unenforceable, the remainder remains in effect.

Assignment. You may not assign without Mezzie's prior written consent. Mezzie may assign freely in connection with a merger, acquisition, or sale of assets.

Force majeure. Neither party is liable for failure due to events beyond reasonable control, including but not limited to network failure, war, terrorism, pandemic, or acts of God.
